Institutional Grade Governance

Vantage has established an institutional grade governance framework responsible for guiding the firm’s decision-making process, policies and broader responsibilities affecting Vantage’s investors, stakeholders and investment partners.

Independent Investment Committee

Unanimous approval by the Investment Committee is required for all investments by Vantage. The Investment Committee meets between six to eight times per year to review, consider and make recommendations regarding the operations of Vantage and the firm’s investment funds.

Independent Ownership Structure

Vantage is owned and controlled by its investment executives. The independent ownership allows its investment professionals to maintain their focus on selecting private equity investments that offer the most attractive risk-adjusted returns without any conflicts of interest.

VANTAGE INVESTMENT COMMITTEE

Vantage systematically follows an underlying fund selection and investment process. For each fund, Vantage evaluates a considerable number of investment opportunities that ultimately result in investments into a limited number of private equity funds and direct co-investments. The Investment Committee ensures consistency of the investment process and adherence to the investment guidelines.

The Vantage Investment Committee provides a strong balance of corporate governance, compliance and commercial skills required to make appropriate investment decisions and to subsequently monitor and support the performance of all Vantage Private Equity Growth funds.

Michael Tobin

Managing Director, Investment Committee Member

Michael is responsible for the development and management of all private equity fund investment activity at Vantage and its authorised representatives. Since establishing Vantage in 2004, Michael has managed Vantage’s funds share of investment into over $14.5 billion of Australian Private Equity funds resulting in more than $9.4 billion of equity funding across 189 underlying portfolio companies.

Michael has over 30 years’ experience in private equity management, advisory and investment as well as in management operations. Michael was formerly Head of Development Capital and Private Equity at St George Bank where he was responsible for the management and ultimate sale of the bank’s Commitments and investments in $140m worth of St George branded private equity funds. Michael also established the bank’s private equity advisory business, which structured and raised private equity for corporate customers of the bank. Michael holds a BE (UNSW), an MBA (AGSM) and a Diploma of Financial Services (AFMA) and is a Fellow of the Australian Institute of Company Directors.

Jonathan Kelly

Non-Executive Director, Investment Committee Member

Jonathan has more than 23 years of experience in direct investing in private equity and private capital funds management across six private equity funds totalling A$1.3 billion in capital commitments.

Jonathan is currently a Managing Director and Investment Committee member of Pollination, a global investment and advisory firm. Jonathan was previously a director of CHAMP Ventures, having joined the firm at its foundation in 2000. At CHAMP Ventures Jonathan managed the acquisition, transformation and ultimate realisation of some of the highest performing investments of the firm including SG Fleet, Amdel, Australian Portable Buildings and Dexion. Jonathan built strong bilateral relationships with founders and CEOs and developed a reputation for personal integrity in capital markets. Jonathan left the firm in 2016 to establish Odyssey Private Equity, another top performing Australian mid-market private equity firm.

Jonathan holds a BEng (Hons1) from The University of Sydney and an MBA (Executive) from the Australian Graduate School of Management.

Rod McGeoch AO

Investment Committee Chairman (Independent)

Rod is the immediate past Chairman Emeritus of Corrs Chambers Westgarth, a leading Australian law firm and has significant board and advisory experience. His current board positions include; Chairman of Chubb Insurance Australia Limited, Chairman of BGP Holdings PLC, Director of Destination NSW, a Director of Corporation Airports America Inc, Chairman of Shaw Vision Pty Limited and Australia Media Corp Pty Limited.

Rod was also the Chief Executive Officer of Sydney’s successful Olympic bid and a Director of the Sydney Organising Committee for the Olympic Games. Rod was awarded membership of the Order of Australia for services to Law and the Community in 1990. In 2013 Rod was made an Officer of the Order of Australia (AO) for distinguished service to the community through contributions to a range of organisations and to sport, particularly through leadership.

James Dunning

Investment Committee Member (Independent)

James has over 35 years of management, assurance and advisory experience and was a partner for 21 years in PricewaterhouseCoopers financial services practice. He worked principally with ASX200 investment management and real estate clients, as well as consumer, industrial, pharmaceutical and mining businesses.

He has experience in ASX listings, equity and debt raisings, M&A transactions, due diligence and assurance engagements. He was a member of PricewaterhouseCoopers global real estate management team.

He is currently a Director of Pymble Golf Club and a Principal of FinStream P/L, an online education provider to the financial services sector.
